1. Membership Overview
The Veterinary Clinic Membership Plan ("Membership Plan") provides exclusive benefits to enrolled members, including complimentary exams and discounts on products and services offered by Sploot Veterinary Care (not including 3rd party service providers).

2. Membership Benefits
Three (3) free standard exams per membership year, both wellness and urgent/sick.
10% discount on all products and services provided directly by the clinic.
Discounts do not apply to services or products facilitated by third-party vendors.
SplootRx online pharmacy is not included in the membership discount.
20% discount on spay or neuter procedures and 15% discount on dental procedures.

3. Membership Eligibility
The Membership Plan is available to pet parents who enroll at any Sploot location.
Each membership applies to a single pet; additional pets require separate memberships.

‍4. Membership Fees & Renewal
The Membership Plan requires an annual fee, payable at the time of enrollment.
Memberships automatically renew unless canceled prior to the renewal date.
Fees are non-refundable and non-transferable.
Membership plans renew at the non-discounted rate.

5. Exclusions & Limitations
The Membership Plan covers only services and products provided directly by the clinic.
Third-party vendor services, including but not limited to SplootRx online pharmacy, are excluded from discounts.
Other exclusions include: specialty surgery, e.g. TPLO repair; specialty ultrasound / echocardiogram; oncology services.
Membership benefits cannot be combined with other promotions, discounts, or special offers.

6. Cancellation & Termination
Members may cancel their membership at any time; however, refunds will not be issued.
The clinic reserves the right to terminate any membership due to misuse, fraudulent activity, or non-compliance with clinic policies. Membership terminated due to a terms infraction will not receive a refund.

7. Amendments & Modifications
Sploot reserves the right to modify the terms and conditions of the Membership Plan at any time.
Any changes will be communicated to members via email or clinic website updates.

8. Liability & Disclaimers
The Membership Plan does not constitute an insurance policy and is not a substitute for pet insurance.
The clinic is not responsible for services rendered by third-party vendors.

9. SplootRx Credit (Online Pharmacy)
The SplootRx credit provides up to $50 in credits for the first 100 members and up to $20 for all other members, provided it is the member's first SplootRx purchase. Use code WELCOME for your first order up to $20 off and custom codes will be communicated to the first 100 members for their $30 toward their second order. Neither of these codes are eligible for in-clinic medicine purchases and they cannot be stacked with one another or other promotions on the same invoice.
By enrolling in the Membership Plan, the member acknowledges and agrees to these terms and conditions.

1. Program Description

PetHero, Inc. d/b/a Sploot Veterinary Care ("Sploot Veterinary Care," "we," "our," or "us") offers an SMS messaging program (the "Program") to help you stay informed about your pet’s care, including—but not limited to—appointment reminders, prescription pick‑ups, wellness tips, promotions, and other service‑related or marketing communications (collectively, "SMS Messages"). By enrolling in, or otherwise agreeing to receive, SMS Messages from Sploot Veterinary Care, you agree to these SMS Terms & Conditions ("Terms").

2. User Opt‑In & Consent

You may opt in to the Program by:

1. Checking the SMS consent box on our digital forms, website, or mobile app;
2. Texting a designated keyword (e.g., START) to our short code/10DLC number; or
3. Giving verbal or written consent to a Sploot Veterinary Care team member.

By opting in, you authorize Sploot Veterinary Care (and its service providers) to send automated SMS Messages to the mobile number you provided. Consent is not a condition of purchase.

3. Message Frequency

Message frequency will vary based on your interactions with us (e.g., number of appointments scheduled, promotional periods). We anticipate 1–4 messages per week, but frequency is subject to change. Standard message and data rates may apply.

4. Cost

Sploot Veterinary Care does not charge for SMS participation; however, your carrier’s standard message & data ratesmay apply. Charges will appear on your mobile bill or be deducted from your prepaid balance.

5. Opt‑Out (STOP)

You may opt out at any time by replying STOP, CANCEL, END, UNSUBSCRIBE, or QUIT to any SMS Message. After opting out, you will receive one final confirmation message. No further messages will be sent unless you opt in again.

Your privacy is important to us. Information collected through the Program is governed by our Privacy Policy. By enrolling, you acknowledge that you have reviewed and agree to the Privacy Policy.

9. Eligibility & User Obligations

• You must be at least 18 years old (or have parental/guardian permission) and be the authorized user of the mobile number provided.
• You agree to provide accurate information and to promptly notify Sploot Veterinary Care of any changes to your mobile number.
• You agree not to use the Program for fraudulent or unlawful purposes.

10. Modification & Termination

Sploot Veterinary Care may modify or terminate the Program or these Terms at any time. We will provide notice of material changes by SMS or by posting an updated version on our website. Your continued participation constitutes acceptance of the modified Terms.

11. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict‑of‑law principles. Any disputes arising under these Terms will be resolved in accordance with the dispute‑resolution provisions set forth in our Privacy Policy and/or Terms of Service.

Winner Selection

Prize Conditions

• Prize valid at any Sploot Veterinary Care location.
• Valid for one pet (dog or cat) owned by the winner.

• Prize cannot be transferred to another pet after the first vaccine has been administered.
• Prize is not transferable to other individuals and has no cash value.

Included and Excluded Vaccines

General Conditions

Sponsor reserves the right to modify, suspend, or terminate the sweepstakes at its discretion. By entering, participants agree to abide by these rules and the decisions of the Sponsor, which are final and binding.

Limitation of Liability

Online Entry Method

PRIZES AND APPROXIMATE RETAIL VALUE

There will be [2] Prizes awarded. Each Prize consists solely of a FREE LIFETIME OF PET VACCINATIONS FOR YOUR PET. The Prize includes Sploot credit for up to annual prevention vaccines per year for up to 18 years. The vaccine credit will be issued electronically to the winner annually on the anniversary of the first vaccine credit award, for as long as the winner’s legally owned pet is alive or up to 18 years, whichever is shorter. The approximate total retail value of each Prize is $200, and the total approximate value of all Prizes is $400. All federal, state, and local tax liabilities are the sole responsibility of the Winner.

RANDOM DRAWING

A total of [1] Prize Winner will be selected in a random drawing from among all eligible entries, on or about one week after April 7, 2025, by judges selected by Sponsor(s). PRIZE CONDITIONS AND ELIGIBILITY

Eligibility for Prize: Only valid for first-time Sploot clients at Chicago Sploot facilities.

• Usage: Valid for one pet only, for the pet’s entire lifespan.
• Pet Requirements: Valid only for adult dogs (canines) or cats (felines) one year or older that are legally owned by the Winner.
• Vaccine Details: Applicable only for annual (once yearly) boosters specific to your pet’s age and species. Valid for up to 5 regular annual prevention booster shot vaccines (including Bordatella, DAPP, FELV, FVRCP, and Leptospirosis vaccines) administered by a board-certified veterinarian employed by Sploot Veterinary Care at a Chicago facility. Booster shots do not include the Rabies vaccine, which is required in many states by law.
• Non-transferability: The prize is valid only for the winner's legally owned pet and cannot be transferred to another pet.

REDEMPTION

Each Sploot vaccine credit issued annually to the Prize Winner shall be redeemable for 12 months from the date of issuance. Any credit not redeemed within this period shall be forfeited and canceled. Redemption is subject to Sploot Veterinary Care property availability. The credit may only be used for yearly wellness exams provided by Sploot Veterinary Care and administered to the winner’s legally owned pet.

Sponsor(s) and their respective affiliates, subsidiaries, parent corporations, officers, directors, shareholders, employees, and agents are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction, or unauthorized access to entries; printing or other errors; and any entries or mail which are late, lost, delayed, incomplete, misdirected, stolen, or mutilated. 1. HOW TO QUALIFY FOR THE SPLOOT VETS FEBRUARY DENTAL PROMOTION

The Sploot Vets Dental Promotion (the “Dental Promotion”) will run from February 1, 2025, until February 28, 2025 (the “Promotion Period”). Clients who complete a dental consultation at any Sploot Vets clinic during the Promotion Period will be eligible for the following discounts:

• $100 off their pet’s dental exam if they complete a dental consultation between February 1 and February 28, 2025.
• An additional $100 off if they book the dental exam on the same day as their consultation.
  

Total potential savings: Up to $200 off the dental exam.

To receive the discount, clients must use the coupon code “FEBDENTAL” when filling out the dental consultation form.

Dental consultations and exams may be booked online, by phone, or in person. This promotion is limited to one redemption per client per pet during the Promotion Period.
For the avoidance of doubt, the Dental Promotion will not apply to:

1. Any dental consultations completed after February 28, 2025.
2. Any dental exams booked after the consultation date (for the additional $100 discount).
3. Any urgent care visits, non-dental surgical procedures, or other wellness visits.
   

If a Sploot Vets clinic is closed for any reason during the Promotion Period, that clinic will not participate in the Dental Promotion on that day but may designate an alternate date at its sole discretion.
